Welcome to BioLumeRx.com ("Website"), operated by KDRN Holdings, Inc dba BioLume Rx LLC ("BioLume Rx," "Company," "we," "our," or "us"). By accessing or using this Website, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not use this Website.
1. Purpose of Website and Medical Provider Responsibilities
BioLume Rx is a telehealth administrative, educational, and marketing platform. BioLume Rx does not provide medical care, medical advice, diagnosis, treatment, prescription services, or healthcare services of any kind.
All medical services, clinical evaluations, prescriptions, and medical decisions are provided solely by independent licensed healthcare providers affiliated with LocumTele through Remedora.
BioLume Rx does not employ, supervise, or control medical providers or practitioners. All healthcare providers are solely responsible for:
- Medical evaluations
- Clinical decisions
- Prescribing decisions
- Treatment plans
- Patient care
- Follow-up care
- Medical communications
BioLume Rx is not responsible for any medical advice, prescriptions, outcomes, complications, side effects, or healthcare services provided by third-party medical professionals.
2. Telehealth Process and Data Flow
Through the BioLume Rx website, users may select and enroll in telehealth-related services. After enrollment, users are redirected to Remedora and/or affiliated healthcare providers for:
- Medical intake
- Collection of medical history
- Clinical review
- Eligibility determination
- Medical evaluation and clearance
If medically appropriate, prescriptions are issued solely by licensed healthcare providers and sent directly to a third-party pharmacy for fulfillment. Medications are shipped directly from the pharmacy to the patient.
BioLume Rx does not prescribe medications, determine medical appropriateness, or participate in clinical decision-making.
BioLume Rx may assist with administrative and non-clinical support services, including customer service, scheduling assistance, billing support, account management, and general program information.
3. Subscription Fees
BioLume Rx may offer both complimentary and paid membership plans through the Services. Users who enroll in a paid membership ("Paid Membership") agree to pay recurring membership charges ("Subscription Fees") in exchange for access to certain platform features, administrative support services, and membership benefits available during the active subscription period. BioLume Rx may update Subscription Fees from time to time in accordance with these Terms.
Subscription Fees are intended to cover non-clinical services and resources provided through the BioLume Rx platform, including platform access, administrative coordination, customer assistance, educational materials, and tools designed to support and streamline access to telehealth-related services.
Certain programs or services available through the platform may also involve consultations with licensed healthcare providers affiliated with Remedora and/or the fulfillment of prescription medications through third-party pharmacies. In such cases, separate charges may apply for medications, provider consultations, pharmacy fulfillment, shipping, or related healthcare services (collectively, "Medication Fees"). These amounts may be billed by or collected on behalf of pharmacies, medical providers, or affiliated third-party service providers.
BioLume Rx reserves the right to correct billing inaccuracies, processing errors, or payment mistakes at any time, including after a payment has been submitted or processed.
Subscription Fees, Medication Fees, consultation fees, pharmacy costs, and related charges may not qualify for reimbursement through private insurance, Medicare, Medicaid, Health Savings Accounts ("HSA"), Flexible Spending Accounts ("FSA"), or similar healthcare benefit programs. By using the Services, you acknowledge and accept responsibility for all applicable charges associated with your account and participation in the Services.
Users may choose to purchase medications either:
- as a one-time order, or
- through a recurring automatic refill program ("Medication Subscription").
If you enroll in a Medication Subscription, your selected payment method will be charged automatically on a recurring basis unless and until the subscription is canceled by you, BioLume Rx, the dispensing pharmacy, Remedora, or a licensed healthcare provider.
Pricing for medications and related services will be disclosed at the time of purchase or enrollment. For recurring Medication Subscriptions, updated pricing and applicable charges may be displayed on the Website or communicated before each refill is processed.
Charges associated with medication orders or subscriptions may include:
- medication costs,
- provider-related charges,
- pharmacy fulfillment fees,
- shipping and handling fees,
- processing fees, and
- applicable taxes.
Medication pricing, fulfillment schedules, and related fees are subject to change at any time. Any available account credits or balances may be applied toward outstanding charges before the remaining balance is billed to your payment method.
BioLume Rx reserves the right to revise subscription pricing, Medication Fees, refill schedules, or other service-related charges at its discretion. Updated pricing or billing information may be provided through the Website, patient portal, email communications, or other appropriate methods.
5. Cancellation or Modification
You may change, pause, or cancel your Medication Subscription at any time before a refill order has been transmitted to the dispensing pharmacy for processing. Subscription management options may be available through your patient portal, or you may contact BioLume Rx directly at support@biolumerx.com for assistance.
If you discontinue a Medication Subscription and later reactivate or enroll again, the pricing, fees, or terms associated with the new subscription may differ from those previously offered.
By providing payment information, you authorize BioLume Rx and its authorized third-party payment providers to charge your selected payment method for all applicable amounts related to your account, including Subscription Fees, Medication Fees, provider-related charges, taxes, shipping costs, and processing fees.
You confirm that you are legally authorized to use the payment method submitted through the Services. If a payment cannot be successfully processed, BioLume Rx reserves the right to retry the transaction and/or request updated billing information to maintain active services or subscriptions.
You acknowledge and agree that BioLume Rx and its payment processing partners may receive updated billing details from your financial institution, such as revised card numbers or updated expiration dates, and may use that information for future authorized transactions associated with your account.
BioLume Rx is not responsible for any overdraft charges, declined payment penalties, interest charges, insufficient fund fees, or other costs imposed by your bank, credit card company, or payment provider.
All financial transactions conducted through the Website, including credit card, debit card, and ACH payments, are securely processed through third-party payment service providers, including Luqra ("Payment Processor"). Your use of such payment services may also be governed by the Payment Processor's independent terms, conditions, and privacy practices.
IF YOUR ACCOUNT INCLUDES A RECURRING SUBSCRIPTION FEE AND/OR AN ACTIVE MEDICATION SUBSCRIPTION, YOU EXPRESSLY AUTHORIZE BIOLUME RX TO AUTOMATICALLY CHARGE YOUR SELECTED PAYMENT METHOD FOR ALL APPLICABLE SUBSCRIPTION AND MEDICATION FEES AT THE TIME OF ENROLLMENT AND UPON EACH RECURRING RENEWAL CYCLE (UNLESS YOU ELECT A PREPAID SUBSCRIPTION OPTION), UNTIL SUCH SUBSCRIPTION(S) ARE CANCELLED. TO AVOID FUTURE CHARGES, YOU ARE RESPONSIBLE FOR CANCELING ANY ACTIVE SUBSCRIPTION BEFORE THE NEXT RENEWAL DATE FOR THE APPLICABLE BILLING PERIOD.
Cancellation of your Paid Membership will become effective at the end of your current billing cycle. If you cancel before the subscription term ends, you may continue accessing Paid Membership services through the remainder of the active term, after which your subscription will not renew automatically.
Certain Medication Subscriptions may require an active Paid Membership and may also be canceled upon termination of your Paid Membership.
If BioLume Rx changes Subscription Fees or other recurring charges, including pricing increases or fee adjustments, notice of the updated pricing will be provided before the new charges take effect. If you do not accept the revised pricing, you may cancel your subscription through your account portal or by contacting admin@biolumerx.com.
Following cancellation of a Paid Membership, your account may be converted to a free membership tier ("Free Membership"), if available at that time. Free Membership access may include limited administrative services, educational resources, or promotional content, but may exclude:
- Telehealth consultations
- Provider evaluations
- Prescription-related services
- Certain medications
- Priority support
- Additional premium features or benefits
4. Refunds
- Payments for partially used subscription periods are generally non-refundable. Any request for a refund will be evaluated individually and granted, if at all, solely at the discretion of BioLume Rx.
- If a refund is approved, the maximum refund amount will not exceed the amount paid during the billing cycle immediately prior to the request.
- Refund eligibility may be denied where services have already been provided, including provider consultations, administrative processing, prescription coordination, medication fulfillment, shipping activities, or other related services.
- Medication costs, pharmacy fees, provider charges, shipping expenses, and prescription-related payments are typically non-refundable once an order has been processed, submitted to the pharmacy, prepared for shipment, or shipped.
- BioLume Rx reserves the right to review and resolve all billing disputes, customer concerns, and refund requests based on the individual circumstances of each case.
5. Termination
- You may discontinue your use of the Services at any time by ceasing use of the platform. If you maintain an active Paid Membership, please refer to the "Subscription Fees" section for instructions regarding cancellation or conversion of your account to a Free Membership, if available.
- BioLume Rx reserves the right to suspend, restrict, deactivate, or terminate your account, subscriptions, or access to any portion of the Services at any time, with or without cause, by providing notice through the email address associated with your account, through the Services, or by other reasonable means of communication.
- If your access to the Services is terminated due to a violation of these Terms or any other agreement with BioLume Rx, you may forfeit eligibility for refunds of Subscription Fees or other amounts previously paid, except where required by applicable law. Unless otherwise required by law, BioLume Rx is not obligated to provide advance notice or a detailed explanation for termination decisions.
- If your account or access to the Services has been terminated, you agree not to re-register, access, or attempt to use the Services under a different name, identity, or account. You further agree to indemnify and hold harmless BioLume Rx, affiliated providers, and related parties from any claims, liabilities, damages, or expenses arising from any unauthorized attempt to access or use the Services following termination.
6. Independent Medical Providers
If you choose to engage in telehealth services, you may be connected with independent medical providers, LocumTele, through Remedora or affiliated medical groups.
All healthcare providers are solely responsible for:
- Medical evaluations
- Clinical decisions
- Prescribing decisions
- Treatment plans
- Patient care
- Follow-up care
- Medical communications
BioLume Rx is not responsible for any medical advice, prescriptions, outcomes, complications, side effects, or healthcare services provided by third-party medical professionals.
6.1 Provider Information & Licensure Disclosure
Certain telehealth services made available through BioLume Rx may be provided by, coordinated through, or supported by Remedora and its affiliated licensed medical providers.
Where applicable law requires disclosure of provider identifying information, licensure information, or related telemedicine provider details, Remedora maintains and provides such information as part of the clinical provider process.
Patients may request provider information, including the name, license type, licensing state, and license number of the provider responsible for their care, through the applicable Remedora clinical process or by contacting BioLume Rx for assistance.
7. Eligibility
Access to the Website and related Services is limited to individuals who are at least eighteen (18) years of age, unless otherwise permitted under applicable law.
By accessing or using the Services, you represent and warrant that:
- You are legally permitted to use the Services;
- All information submitted by you is complete, current, and accurate; and
- You are located in a state where telehealth services offered through Remedora, LocumTele, and affiliated licensed healthcare providers may legally be provided.
BioLume Rx offers administrative and platform services only in jurisdictions where telehealth services are authorized under applicable federal and state laws. It is your responsibility to ensure that you reside in, or are physically located in, a state where services facilitated through Remedora, LocumTele, or affiliated provider groups are available and legally permitted.
BioLume Rx services are currently available in 48 states. Services are not available to residents of, or individuals physically located in, South Carolina or California.
BioLume Rx, Remedora, and LocumTele comply with applicable federal privacy laws, HIPAA requirements, and state-specific privacy and data protection laws governing the jurisdictions in which users receive services. Certain states may impose additional obligations related to patient privacy, security safeguards, or breach notification requirements beyond those required under federal law.
8. Consent to Electronic Communications
By using the Services, you consent to receive communications from BioLume Rx electronically, including through email, text message, telephone calls, patient portal notifications, and postings on the Website. Such communications may include legal notices, policy updates, revisions to these Terms or the Privacy Policy, patient agreements, consent forms, account notifications, billing information, scheduling updates, customer support messages, and other information related to the Services or healthcare-related administrative matters.
BioLume Rx may also send communications on behalf of Remedora, LocumTele, affiliated healthcare providers, pharmacies, or related service providers in connection with your account, medications, appointments, subscriptions, or care coordination activities.
You acknowledge that electronic communications, including emails and text messages, may not always be encrypted or fully secure and could potentially be accessed by unauthorized parties. By providing your contact information, you authorize BioLume Rx to communicate with you through these methods and agree to maintain accurate and current contact information associated with your account.
You may opt out of certain non-essential electronic communications at any time through available unsubscribe options, account settings, or by contacting admin@biolumerx.com. However, opting out of certain communications may limit your ability to access or use portions of the Services.
Notwithstanding your communication preferences, BioLume Rx may continue to send transactional, operational, legal, security-related, billing, or other notices required for the administration of your account or compliance with applicable law.
Your decision to withdraw consent to certain electronic communications will not invalidate or otherwise affect the enforceability of these Terms or any related agreements.
9. Permissible Use and Intellectual Property Rights
All materials contained within BioLume Rx, including but not limited to the platform architecture, software, source code, functionality, text, graphics, logos, trademarks, branding elements, images, videos, educational content, and all other content accessible through the Website, are owned by or licensed to BioLume Rx and are protected by applicable copyright, trademark, patent, and other intellectual property laws.
Subject to your strict compliance with these Terms and Conditions, BioLume Rx grants you a limited, personal, non-exclusive, revocable, and non-transferable license to access and use the Services solely for lawful purposes. No ownership interest, proprietary right, or title to the Services or any related content is transferred to you under this license.
You expressly agree that you shall not:
- Reverse engineer, decompile, disassemble, modify, adapt, translate, create derivative works from, or otherwise attempt to discover the underlying structure or code of the Services;
- Deploy, utilize, or implement any automated systems, including but not limited to bots, web crawlers, scraping tools, data mining applications, or similar technologies, to access, collect, monitor, or extract data, content, or information from the Services;
- Use, display, reproduce, distribute, license, or otherwise exploit BioLume Rx's trademarks, logos, proprietary branding, or protected content without prior written authorization from BioLume Rx;
- Collect, aggregate, store, share, disclose, or otherwise misuse personal information or data belonging to other users without valid consent or lawful authorization;
- Disrupt, interfere with, degrade, overload, or otherwise compromise the operation, functionality, integrity, or security of the Services, systems, networks, or infrastructure connected to the platform;
- Attempt to gain unauthorized access to restricted portions of the Services, user accounts, databases, servers, system administration tools, or related infrastructure;
- Circumvent, disable, evade, or otherwise defeat any security measures, authentication protocols, encryption mechanisms, or technical safeguards implemented by BioLume Rx;
- Transmit, upload, or distribute any materials that infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal protections of any third party;
- Engage in any unlawful, fraudulent, deceptive, abusive, or unauthorized activity through the Services.
10. Ownership of Platform and Content
BioLume Rx retains all ownership rights, title, and interest in the Services, including all software, design, functionality, content, graphics, logos, trademarks, and related intellectual property.
Users are granted no rights to the Services except those expressly stated in these Terms. Any trademarks, service marks, trade names, and logos displayed on the Website are owned by BioLume Rx or their respective trademark holders and may not be used without written authorization.
11. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOLUME RX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSSES RELATED TO DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION. THE SERVICES AND ALL CONTENT, MATERIALS, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. BIOLUME EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND TIMELINESS.
BIOLUME RX MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR EXPECTATIONS, REMAIN UNINTERRUPTED, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. BIOLUME DOES NOT WARRANT THAT MEDICAL ELIGIBILITY WILL BE DETERMINED, PRESCRIPTIONS WILL BE APPROVED, TREATMENT OUTCOMES WILL BE ACHIEVED, OR THAT THE WEBSITE WILL REMAIN CONTINUOUSLY AVAILABLE.
11. Disclaimers and Limitations
BioLume Rx does not guarantee that the Services will operate without interruption, remain error-free, or that defects will be corrected. BioLume Rx does not warrant that files or systems will be free from viruses, malware, or other harmful components.
To the maximum extent permitted by law, BioLume Rx, its affiliates, officers, directors, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your access to or use of the Services, including but not limited to losses related to data, revenue, profits, goodwill, or business interruption.
The Services and all content, materials, and functionality are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied. BioLume Rx expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and completeness.
BioLume Rx makes no representations regarding medical eligibility, prescription approval, treatment outcomes, or continuous website availability. Users are solely responsible for determining whether they are medically eligible and whether prescribed medications and treatments are appropriate for their condition.
All information provided through BioLume Rx is for general informational and educational purposes only and is not intended as medical advice or a substitute for consultation with a licensed healthcare provider. If you require medical advice or medical attention, contact a qualified healthcare professional or emergency services immediately.
The Services are intended for use only by residents of the United States. Users accessing the Services from outside the United States do so at their own risk and are responsible for compliance with all applicable laws and regulations in their jurisdiction.
12. Limitation of Liability
To the maximum extent permitted by law, BioLume Rx and its affiliates, officers, directors, employees, contractors, agents, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, service interruptions, or system failures, even if BioLume Rx has been advised of the possibility of such damages.
Except where prohibited by law, BioLume Rx's total liability arising out of or related to these Terms or your use of the Services shall not exceed the greater of: (a) one hundred dollars ($100), or (b) the total amount you paid to BioLume Rx during the three (3) months immediately preceding the event giving rise to your claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. In such jurisdictions, BioLume Rx's liability shall be limited to the maximum extent permitted by applicable law.
13. Exclusive Remedy
If you are dissatisfied with the Services, your sole and exclusive remedy is to discontinue use of the Services and cancel your account and any subscriptions.
14. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration, except for claims involving intellectual property rights or requests for injunctive relief, which may be brought in court.
You may opt out of arbitration by providing written notice to BioLume Rx within thirty (30) days of first accepting these Terms. Send your opt-out notice to admin@biolumerx.com.
Unless you opt out, you waive your right to a jury trial, your right to participate in a class action lawsuit, and your right to participate in representative proceedings.
Arbitration shall be conducted under the rules of the American Arbitration Association (AAA). These arbitration provisions survive termination of these Terms and your use of the Services.
15. Third-Party Links and Content
The Services may contain links to third-party websites, pharmacies, providers, or vendors. BioLume Rx is not responsible for the content, policies, practices, or services offered by third parties. Accessing third-party websites is done at your own risk, and you are responsible for reviewing their terms and privacy policies.
16. Indemnification
You agree to defend, indemnify, and hold harmless BioLume Rx, its affiliates, officers, directors, employees, contractors, agents, licensors, Remedora Providers, affiliated healthcare providers, and pharmacy partners from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of applicable laws;
- Your infringement of third-party intellectual property, privacy, or other legal rights;
- Unauthorized use of your account credentials.
This indemnification obligation does not apply to claims arising from BioLume Rx's gross negligence, willful misconduct, or intentional violations of law.
17. General Provisions
These Terms, together with BioLume Rx's Privacy Policy, patient agreements, consent forms, and any supplemental policies or notices, constitute the entire agreement between you and BioLume Rx regarding the Services.
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles.
BioLume Rx may modify, suspend, or discontinue the Services or any portion thereof at any time without liability to you. BioLume Rx will provide notice of material changes in accordance with these Terms.
BioLume Rx may assign its rights and obligations under these Terms in connection with a merger, acquisition, asset sale, bankruptcy, or other business restructuring without your consent.
Any feedback, comments, suggestions, or other information you submit to BioLume Rx may be used by BioLume Rx for any purpose without obligation to you, including acknowledgment, compensation, or restriction.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. If a provision cannot be severed, the parties agree to modify it to the minimum extent necessary to make it enforceable while preserving its intent.
BioLume Rx reserves the right to restrict or block access to the Services from specific IP addresses, geographic regions, or user accounts where necessary to protect platform integrity, security, or compliance with applicable law.
19. Website Content and Intellectual Property
All content on the Website, including text, graphics, logos, trademarks, branding elements, images, videos, educational materials, user interfaces, design elements, and all other works created, compiled, or licensed by BioLume Rx, is owned by or licensed to BioLume Rx and is protected by applicable copyright, trademark, patent, and other intellectual property laws. This protection applies regardless of whether the content bears a copyright notice, trademark designation, or other proprietary marking.
You may not copy, reproduce, distribute, display, transmit, modify, adapt, translate, or create derivative works from any content on the Website without prior written permission from BioLume Rx. You may not incorporate BioLume Rx's content into any other website, application, platform, or service, whether for commercial or non-commercial purposes. You may not use BioLume Rx's content as a basis for creating competing services or products. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notice on any content.
Any unauthorized use of BioLume Rx's content constitutes infringement of intellectual property rights and may expose you to civil and criminal liability. BioLume Rx reserves the right to pursue injunctive relief, monetary damages, and other remedies available under federal and state law for any violation of these provisions.
20. Privacy and Data Handling
BioLume Rx collects certain patient information necessary to facilitate administrative services, including name, date of birth, address, phone number, email address, and program enrollment information. BioLume Rx communicates with patients regarding non-clinical matters such as scheduling, billing, account support, and customer service.
All medical records, clinical information, protected health information, medical evaluations, prescriptions, and healthcare decisions are collected, managed, and maintained solely by Remedora and affiliated licensed healthcare providers. BioLume Rx does not provide healthcare services but may have access to certain patient information in connection with administrative support activities.
BioLume Rx complies with the Health Insurance Portability and Accountability Act (HIPAA) Privacy and Security Rules to the extent applicable. Where BioLume Rx has access to protected health information, such information is handled in accordance with HIPAA requirements and any Business Associate Agreements between BioLume Rx and Remedora. BioLume Rx agrees to maintain the confidentiality and security of any patient information it receives and to comply with all applicable federal and state privacy laws.
BioLume Rx and Remedora each comply with the privacy laws of the state or states where users reside and receive services. Some states impose privacy and breach notification requirements that extend beyond federal HIPAA obligations. Users are responsible for understanding the privacy laws applicable in their state and verifying compliance before using the Services.
BioLume Rx's privacy practices are further described in the Privacy Policy, which is incorporated by reference into these Terms.
21. Prohibited Use
You agree not to use the Services for any unlawful purpose or in any manner that violates applicable federal, state, or local law. You may not submit false, inaccurate, or misleading personal information, including your name, date of birth, address, or contact details. You may not misrepresent your identity, medical history, current health status, or provide false or incomplete medical history information that materially affects your medical eligibility, treatment safety, or the provider's ability to make informed clinical decisions.
You may not attempt to obtain prescription medications or controlled substances through misrepresentation, deception, or deliberate omission of material facts. You may not attempt to circumvent, bypass, or interfere with the medical provider's evaluation, assessment, or approval process. You may not use another person's account, identity, or payment information without authorization. BioLume Rx makes no representations or warranties regarding your medical eligibility for any services offered through Remedora providers, the approval or denial of any prescription request, the efficacy or outcome of any treatment, or the continuous availability of the Website or Services. Medical eligibility, prescription approval, and treatment outcomes depend on independent provider assessment, clinical judgment, and individual patient factors that are beyond BioLume Rx's control and responsibility. You are solely responsible for consulting with a qualified healthcare provider to determine whether any service is appropriate for your health status and medical history.
BioLume Rx does not guarantee that information provided on the Website is accurate, complete, current, or suitable for any particular purpose. The Website and all content, materials, and functionality are provided without any warranty of merchantability, fitness for a particular purpose, title, or non-infringement. Some jurisdictions do not allow the disclaimer of implied warranties, so some of these disclaimers may not apply to you.
23. Indemnification
You agree to defend, indemnify, and hold harmless BioLume Rx, its affiliates, officers, directors, employees, contractors, agents, and licensors, as well as Remedora, LocumTele, and any affiliated healthcare providers or pharmacy partners, from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services or Website;
- Your violation of these Terms or any applicable law;
- Your infringement or alleged infringement of any third-party intellectual property, privacy, publicity, or other legal rights;
- Any content you submit, upload, or transmit through the Services;
- Your misrepresentation of identity, medical history, or eligibility information;
- Unauthorized use of your account credentials or any breach of account security caused by your actions;
- Any dispute between you and a healthcare provider, pharmacy, or third party arising from your use of the Services.
This indemnification obligation does not apply to claims arising from the gross negligence, willful misconduct, or intentional violation of law by BioLume Rx, Remedora, LocumTele, or their respective affiliates, officers, or employees.
24. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. You acknowledge that BioLume Rx is incorporated and operates in California, and you consent to the application of California law to these Terms regardless of where you reside or access the Services.
You consent to the exclusive jurisdiction of the state and federal courts located in California for the resolution of any dispute, claim, or action arising from or relating to these Terms or your use of the Services. You agree to submit to the personal jurisdiction of these courts and waive any objection to venue or inconvenient forum.
Notwithstanding the foregoing, BioLume Rx may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, enforce intellectual property rights, or protect its proprietary information or systems.

This Patient Agreement ("Agreement") applies to your access to and use of healthcare and telehealth-related services ("Services") made available through LOCUMTELE Medical Group, Remedora Providers, affiliated licensed medical professionals, and related healthcare entities (collectively, the "Provider Group," "Providers," "we," or "us").
BioLume Rx operates as a non-clinical administrative and technology platform that supports access to the Services. BioLume Rx may provide membership management, customer support, scheduling assistance, payment processing, marketing, educational resources, and other administrative platform functions. BioLume Rx does not provide medical care, prescribe medications, diagnose conditions, or make treatment decisions.
Please review this Agreement carefully before accessing or receiving any Services.
Your use of BioLume Rx platform features and administrative services ("Platform Services") is also governed by the BioLume Rx Terms & Conditions, which are incorporated herein by reference. By using the Services or Platform Services, you agree to comply with all applicable terms, policies, disclosures, and consents.
By accepting this Agreement on your own behalf, or as the parent, legal guardian, conservator, or authorized representative of a minor or dependent individual (where permitted under applicable law), you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement, including all Telehealth Services Consents and related disclosures contained herein.
Please review the applicable Notice of Privacy Practices for information regarding how protected health information ("PHI") may be collected, maintained, disclosed, and protected in accordance with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and other applicable federal and state privacy laws.
YOU AGREE THAT DISPUTES BETWEEN YOU, BIOLUME RX, REMEDORA, AND/OR LOCUMTELE MEDICAL GROUP WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION UNLESS YOU TIMELY OPT OUT AS DESCRIBED IN SECTION 11 BELOW.
DO NOT USE THE SERVICES FOR EMERGENCY OR LIFE-THREATENING MEDICAL CONDITIONS. FOR ALL MEDICAL EMERGENCIES, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY.
1. Changes to These Terms
BioLume Rx may update this Agreement at any time and will post material changes on the Website with a revised effective date. You are responsible for reviewing the updated Agreement. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised terms. If you do not agree with any changes, you must stop using the Services.
2. Fees and Payment
You are responsible for all fees associated with your use of the Services, including provider consultation fees, medication fees, pharmacy charges, subscription fees, administrative fees, shipping fees, and any applicable state and local taxes. BioLume Rx processes payments on behalf of Remedora providers, LocumTele Medical Group, affiliated pharmacies, and related service providers.
You authorize BioLume Rx and its payment processor, Luqra, to charge your designated payment method for all authorized fees and charges related to the Services. By providing payment information, you represent that you are authorized to use that payment method and that the information is accurate and current.
Remedora providers and LocumTele Medical Group are not currently enrolled as participating providers with Medicare, Medicaid, or other government healthcare programs unless otherwise specifically disclosed to you in writing. Services are provided on a cash-pay basis. If you choose to submit claims to your commercial insurance carrier, you are solely responsible for communicating with your insurer, providing necessary documentation, and paying any balance not covered by your insurance. BioLume Rx is not responsible for insurance claim processing, denials, or appeals.
3. Informed Consent to Receive Healthcare Services
By using the Services, you consent to receive healthcare evaluations and treatments from licensed healthcare providers affiliated with Remedora and LocumTele Medical Group. You understand that these providers are independent contractors and that BioLume Rx does not employ, supervise, or control the clinical decisions, medical judgment, or treatment recommendations of any provider.
You acknowledge that you have the right to refuse any recommended treatment or service at any time. You understand that refusal of a recommended treatment may affect your health outcomes, and you agree that neither BioLume Rx nor Remedora providers shall be liable for any consequences, adverse effects, or negative health outcomes resulting from your decision to refuse, delay, or discontinue any recommended care.
You acknowledge and consent that your personal health information (PHI) and protected health information may be electronically stored, transmitted, documented, and shared among authorized Remedora providers, LocumTele Medical Group, affiliated pharmacies, business associates, and administrative personnel involved in your care coordination and platform support activities. This sharing occurs in compliance with HIPAA and applicable state privacy laws. You understand that BioLume Rx may have access to certain patient information for administrative purposes only and does not control how Remedora or LocumTele use clinical data.
4. Prescription Medications and Fulfillment
Medical Evaluation and Eligibility
Certain medications require a valid prescription from a licensed healthcare provider affiliated with Remedora or LocumTele Medical Group. You may not obtain prescription medications unless a licensed provider completes an appropriate medical evaluation and determines that the medication is medically appropriate for your individual health status and medical history.
Prescription Fulfillment Options
Prescriptions may be fulfilled through Remedora partner pharmacies. You authorize BioLume Rx to process payments and facilitate communication with Remedora partner pharmacies to complete your order.
BioLume Rx's Limited Role
BioLume Rx does not manufacture, dispense, prescribe, or control medications. BioLume Rx is a facilitator only and is not responsible for pharmacy fulfillment timelines, shipping delays, product defects, medication recalls, product quality, medication availability, or any issues arising from pharmacy operations or the medication itself. Your relationship with any pharmacy is independent of BioLume Rx. Any disputes regarding pharmacy services, pricing, availability, or product quality are solely between you and the pharmacy provider.
5. No Show Policy
Please provide at least twenty-four (24) hours' notice if you need to cancel or reschedule an appointment.
6. Service Termination
You may terminate use of the Services at any time by discontinuing use of the platform and canceling any active subscriptions.
BioLume Rx may terminate subscriptions or platform access for reasons including:
- Fraudulent activity
- Falsification of medical information
- Abusive behavior
- Nonpayment
- Violation of these Terms
- Illegal conduct
- Repeated missed appointments
Termination of Services may also result in termination of access to BioLume Rx platform services.
7. Electronic Communications
By using the Services, you consent to receive electronic communications from BioLume Rx, Remedora, LocumTele Medical Group, affiliated providers, pharmacies, and related service providers through email, SMS/text messaging, telephone, patient portal messaging, and mail.
Communications may include billing notices, appointment reminders, medication information, care coordination updates, service updates, legal notices, administrative communications, and certain health-related information.
You acknowledge that unencrypted electronic communications may not be secure and could potentially be accessed by unauthorized parties. You understand that BioLume Rx and its partners will take reasonable safeguards to protect your information, but you accept the inherent risks of electronic communication.
You agree to maintain accurate and current contact information. You may opt out of certain non-essential communications by contacting admin@biolumerx.com or using available unsubscribe options. However, legally required communications, transactional messages, and appointment-related notices will continue to be sent regardless of opt-out requests.
8. Telehealth Services
Telehealth services are provided by licensed healthcare providers affiliated with Remedora or LocumTele Medical Group using audio, video, messaging, digital tools, asynchronous communications, or other electronic technologies. BioLume Rx facilitates access to these services through administrative and technology support only and does not provide medical services.
You acknowledge that:
- Telehealth has limitations compared to in-person examination and care
- Certain conditions may require in-person evaluation or treatment
- Technical failures, interruptions, or audio/video quality issues may occur
- Security breaches, though uncommon, are possible despite reasonable safeguards
- You are solely responsible for providing accurate and complete health information
- Telehealth services may be delivered by physicians, nurse practitioners, physician assistants, nurses, registered dietitians, health coaches, or other licensed professionals
- You have the right to decline telehealth and request in-person care where available
You agree not to record telehealth encounters without written consent from all parties involved. Unauthorized recording may violate state wiretapping laws and your provider's privacy rights.
9. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, BioLume Rx, Remedora, LocumTele Medical Group, their respective affiliates, officers, directors, employees, contractors, agents, providers, pharmacies, and partners shall not be liable for any loss, injury, damage, or harm arising from your use of or inability to use the Services, except where such liability is prohibited by law or arises from gross negligence or willful misconduct.
The Services are intended only for users located in jurisdictions where such services may legally be provided. You are responsible for verifying that your use of the Services complies with all applicable federal, state, and local laws.
To the maximum extent permitted by law, BioLume Rx and its partners shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, regardless of the cause of action or theory of liability.
Your total liability cap shall not exceed the greater of: (1) one hundred dollars ($100), or (2) the total amount you paid for Services during the three (3) months immediately preceding the claim.
10. Dispute Resolution and Binding Arbitration
Any dispute arising from or relating to the Services, this Agreement, BioLume Rx, Remedora, or LocumTele Medical Group shall be resolved through binding individual arbitration, except as otherwise permitted by law.
You may opt out of the arbitration requirement within thirty (30) days of accepting this Agreement by emailing admin@biolumerx.com with a clear statement that you are opting out.
By accepting these Terms, you waive: your right to a jury trial, your right to participate in a class action or class arbitration, and your right to pursue representative claims on behalf of others.
Arbitration shall be governed by the American Arbitration Association (AAA) rules and shall be conducted in California, unless state law requires arbitration in a different location. You agree to pay your own attorney's fees and costs unless applicable law requires otherwise.
11. General Provisions
Entire Agreement. This Agreement, together with the BioLume Rx Privacy Policy, Notice of Privacy Practices, and any supplemental policies posted on the Website, constitutes the complete agreement between you and BioLume Rx, Remedora, and LocumTele Medical Group regarding your use of the Services. No other terms, representations, or agreements apply unless made in writing and signed by an authorized representative of BioLume Rx.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. You acknowledge that BioLume Rx is incorporated and operates in California, and you consent to the application of California law to these Terms regardless of where you reside or access the Services.
Modification and Discontinuation. BioLume Rx, Remedora, and LocumTele Medical Group reserve the right to modify, suspend, or discontinue the Services at any time, with or without notice, for any reason, including maintenance, updates, or changes to law.
Severability. If any provision of this Agreement is determined to be unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. All remaining provisions shall remain in full force and effect.
12. State-Specific Notices
Notice of Rights (Weight Loss and Clinical Wellness Programs). If applicable under your state's law, including Florida law, you acknowledge receipt of the following notices:
- Rapid weight loss may cause serious health problems, including gallstones, muscle loss, metabolic changes, and nutrient deficiency
- You should consult your physician before beginning any weight-loss, medication, or clinical wellness program
- Permanent lifestyle changes and ongoing medical supervision promote long-term weight-loss success and health outcomes
- Provider qualifications, training, and credentials are available upon request
You have the right to:
- Ask questions about treatment risks, benefits, and alternatives
- Receive clear pricing and payment disclosures before treatment begins
- Understand the expected duration of your program and any lifestyle requirements
- Know the qualifications and credentials of your healthcare provider
- Withdraw consent and discontinue the program at any time

13. Informed Consent for Telehealth (LocumTele Medical Group)
By participating in telehealth services through BioLume Rx, you consent to receiving healthcare evaluation and treatment through electronic communications technologies from licensed providers affiliated with Remedora or LocumTele Medical Group.
You understand that:
- Telehealth involves electronic transmission of medical information, including your health history, symptoms, and treatment plans
- Telehealth offers benefits (convenience, accessibility) and has limitations compared to in-person care
- Technical failures, connectivity issues, or service interruptions may occur
- Confidentiality and privacy protections apply to all telehealth communications
- You may withdraw consent and discontinue telehealth services at any time
- Your provider will determine whether in-person evaluation is necessary for your condition
You acknowledge that you have had the opportunity to ask questions about telehealth, its risks and benefits, and the treatment being recommended. You voluntarily consent to telehealth treatment and understand the scope of the services you will receive.
14. Notice of Privacy Practices
Your Information. Your Rights. Our Responsibilities.
BioLume Rx may receive limited patient information necessary to facilitate administrative support, billing, customer service, scheduling, and platform operations in accordance with applicable HIPAA requirements, Business Associate Agreements, and state privacy laws.
Protected health information (PHI) related to medical treatment, clinical diagnoses, prescriptions, and medical care is maintained by Remedora, LocumTele Medical Group, affiliated licensed healthcare providers, and their business associates. BioLume Rx does not control how these entities use clinical data, but BioLume Rx complies with HIPAA as a business associate where applicable.
BioLume Rx complies with HIPAA privacy and security requirements and applicable state privacy laws governing jurisdictions where users reside. State privacy laws may impose obligations beyond HIPAA, and BioLume Rx shall comply with those obligations as well.
Your Rights. You retain all rights provided under HIPAA and applicable state laws, including:
- The right to access your medical records and request copies
- The right to request corrections to inaccurate information
- The right to request confidential communications by alternative methods
- The right to file complaints with BioLume Rx and with state or federal health authorities
- The right to receive copies of this Notice of Privacy Practices
- The right to receive an accounting of disclosures of your PHI
